1. Who these terms apply to
These terms govern the provision of Kleewn's product data operations service to a client brand ("you"). They apply alongside the signed service agreement; where the two conflict, the signed agreement takes precedence.
2. Scope of the service
Kleewn maintains product data across the sales channels, markets and languages agreed in your tier. This includes drift monitoring and fixes, collection rollouts within your tier allowance, translation and localization, variant and size-format integrity, price and VAT rule application, image spec compliance, and absorbing marketplace rule changes.
Explicitly out of scope: brand strategy, merchandising and pricing decisions, paid media and marketplace advertising operations, customer service, returns and fulfillment operations, and custom software development. Work outside your tier allowance is quoted separately and confirmed in writing before it starts.
3. Tiers, fees and billing
Monthly fees are €1,500 (Starter), €2,500 (Standard) or €4,000 (Premium), excluding VAT. A one-time onboarding fee of €1,000–€3,000 applies depending on tier, unless waived in writing as part of a founding cohort offer.
Additional one-time fees apply to new market launches (€1,500 per country), new marketplace integrations after onboarding (€1,500–€3,000) and bulk translation projects beyond your tier allowance (€0.10–€0.20 per word).
Monthly fees are invoiced in advance and payable within 14 days. Third-party tooling licensed in your name (for example a feed manager subscription) is either passed through at cost or included where your tier states so.
4. Your responsibilities
You provide timely access to the systems required to deliver the service, a single source of truth for product data, and a named contact empowered to approve changes. Kleewn is not responsible for delays or errors caused by missing access, incorrect source data, or approvals not given in time.
You remain the decision-maker on what is published, at what price, and in what order.
5. Service levels
Response times are 24 hours (Starter), 4 hours (Standard) and 2 hours on critical issues (Premium), counted during business hours Monday to Friday, Central European Time. Monitoring frequency is weekly on Starter and daily on Standard and Premium.
Marketplaces and platforms are third parties. Kleewn cannot guarantee platform uptime, approval decisions, search placement, or sales outcomes.
6. Term, cancellation and pause
Engagements run month to month after any agreed initial term. Either party may terminate with 30 days' written notice, effective at the end of the following billing month. Onboarding fees are non-refundable once onboarding work has started.
On termination we hand over your canonical product database and channel mapping documentation in a portable format at no extra cost.
7. Confidentiality and data
Both parties keep the other's non-public information confidential. Kleewn processes your product, catalog and account data solely to deliver the service, acting as a processor on your instructions under a data processing agreement, and does not sell or share it with third parties other than the sub-processors needed to run the service.
8. Intellectual property
You own your product data, product copy, translations and images produced for your catalog. Kleewn retains ownership of its internal templates, workflows, automations and platform knowledge base, and grants you no licence to them beyond the term of the service.
9. Liability
Kleewn's total aggregate liability is limited to the fees paid by you in the three months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential loss, including lost profit or lost sales. Nothing in these terms excludes liability that cannot be excluded by law.
10. Changes and governing law
We may update these terms; material changes are communicated at least 30 days before they take effect for existing clients. The service relationship is governed by the law named in your signed service agreement.
